WAITLIST PROMOTION TERMS & CONDITIONS

Overview

These Waitlist Promotion Terms & Conditions ("Promotion Terms") govern the trovy waitlist promotion (the "Promotion"), including the promotional reward credit, referral program, and associated rewards. These Promotion Terms supplement the trovy Member Terms & Conditions and Privacy Policy. In the event of a conflict, these Promotion Terms prevail with respect to the Promotion.

By joining the trovy waitlist, you agree to these Promotion Terms.

Eligibility

The Promotion is open to residents of Canada (excluding residents of Quebec) who have reached the age of majority in their province or territory of residence. Limit one (1) waitlist account per person.

Promotional Reward Credit

Earning the Credit

The Promotion includes three reward tiers. Each tier is unlocked by completing the specified action:

• OG (Tier 1): Join the trovy waitlist and complete the voting flow → $5.00 CAD promotional reward credit
• Champion (Tier 2): Achieve one (1) successful referral → additional $5.00 CAD promotional reward credit (total $10.00)
• Founder (Tier 3): Achieve three (3) total successful referrals → additional $5.00 CAD bonus promotional reward credit (total $15.00)

The maximum total Credit balance is $15.00 CAD. Referrals beyond three (3) do not earn further Credits. All Credits (the "Credit") are applied to the member's trovy account upon platform launch.

Tier 2 and Tier 3 Credits are earned by the referrer only. Referred individuals who join the waitlist earn their own OG (Tier 1) Credit of $5.00 CAD, regardless of how they were referred.

Redemption

The Credit is redeemable at any participating trovy Merchant Partner, subject to that Merchant Partner's redemption rules. Merchant Partners may set minimum purchase thresholds or other conditions that must be met before a Credit can be applied. These rules are determined by each Merchant Partner and may vary.

• The Credit has no cash value and is non-transferable
• The Credit cannot be exchanged for currency, applied to prior purchases, or combined with other promotional offers unless expressly stated
• The Credit is for personal, non-commercial use only
• Credits earned through signup and referrals are combined into a single Credit balance. The Credit balance may be applied to a single transaction or split across multiple transactions at the member's discretion, subject to Merchant Partner redemption rules

Expiry

The Credit expires twelve (12) months after the date the member joins the trovy waitlist. Expired Credits are forfeited and cannot be reinstated.

Referral Program

How It Works

Each waitlist member receives a unique referral link. When a referred individual joins the waitlist using that link and completes the full voting flow (category selection and store voting), the referral is counted as successful.

Referral Credits are awarded to the referring member (the referrer). The referred individual earns their own OG (Tier 1) Credit upon completing the voting flow.

• The first successful referral unlocks Champion (Tier 2) and earns an additional $5.00 CAD Credit (total $10.00)
• The third total successful referral unlocks Founder (Tier 3) and earns an additional $5.00 CAD bonus Credit (total $15.00)

Referrals beyond three (3) do not earn further Credits. A referral is not counted if the referred individual only enters their contact information without completing the voting flow.

Referral Messages

Referral links are shared directly by waitlist members to their personal contacts. trovy does not send referral messages on the member's behalf. When a referred individual joins the waitlist, trovy may send one (1) confirmation message identifying the referrer by name, in accordance with CASL's referral exception (Section 6(6)(b)).

Anti-Gaming

trovy reserves the right to disqualify referrals and revoke associated Credits if fraudulent, artificial, or abusive activity is detected, including but not limited to:

• Multiple accounts created from the same household, device, or IP address
• Automated or scripted signups
• Referrals where the referred individual does not represent a genuine, distinct person
• Bulk or commercial distribution of referral links on deal sites, public forums, or social media pages not belonging to the referrer

Tier Status

Each tier (OG, Champion, Founder) is designated on the member's trovy account. Tier designations have no monetary value independent of the associated Credits, are non-transferable, and confer no additional benefits beyond the designation itself. trovy reserves the right to modify, rename, or discontinue tier designations at any time.

Privacy

Personal information collected through the Promotion is handled in accordance with the trovy Privacy Policy. Information collected includes contact details (phone number or email), category preferences, store votes, and referral activity. This information may be used for the purposes described in the Privacy Policy, including merchant outreach communications.

Modifications and Termination

Trovy Inc. reserves the right to modify, suspend, or terminate the Promotion, in whole or in part, at any time and for any reason, including but not limited to modifying reward amounts, referral credit caps, tier structure, tier designations, eligibility criteria, or redemption rules. This right extends to circumstances involving fraud, technical issues, or events beyond trovy's reasonable control. Any changes will be communicated to waitlist members via SMS or on the trovy website.

Limitation of Liability

To the maximum extent permitted by applicable law, Trovy Inc. and its officers, directors, employees, and agents shall not be liable for any damages arising out of or in connection with participation in the Promotion, including but not limited to the redemption or non-redemption of Credits, the crediting or non-crediting of referral rewards, the awarding or non-awarding of tier designations, or any technical issues affecting the waitlist or referral system.

Governing Law

These Promotion Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from the Promotion shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, City of Toronto.
